The Accountability Gap: Who Pays When AI Wallets Make Costly Mistakes?
As AI agents gain the power to move money autonomously, U.S. law leaves human users and developers holding the bag for algorithmic errors.
The deployment of agentic AI wallets capable of autonomously executing trades and negotiating terms has created a critical accountability gap in the financial sector. Because these systems lack legal personhood, they cannot be held responsible for the financial mistakes or regulatory violations they trigger.
Under current U.S. law, AI systems cannot independently own property or bear legal liability. This means that when an autonomous agent moves money, the legal responsibility must be attributed back to the human users, developers, or platform operators. The core issue is not the ability of these agents to move funds, but that they do so without becoming legally responsible for their actions.
The Shift to Functional Attribution
As these tools move from simple assistance to the autonomous execution of operations like paying invoices and rebalancing portfolios, the nature of financial risk is shifting from human error to algorithmic error. This evolution challenges traditional agency law, which has historically relied on human intent and judgment to determine liability.
To address this, courts are expected to utilize "functional attribution." This legal approach treats transactions executed by an AI wallet as if the human user had executed them directly. Furthermore, due to commercial law's preference for transactional certainty, contracts entered into by an AI may legally bind a company even if no human specifically approved the individual transaction.
Broad Instructions, Broad Exposure
This legal landscape creates a high-risk environment for businesses where broad instructions can lead to broad exposure. Companies may find themselves legally bound by contracts they never reviewed or held liable for regulatory breaches caused by an AI's autonomous choice of how to achieve a specific goal.
Because the AI cannot be sued or fined, the financial and legal fallout rests entirely on the entity that deployed the agent. This creates a precarious situation for firms that integrate autonomous financial agents without rigorous oversight, as the law prioritizes the certainty of the transaction over the lack of human intent.
Building a New Legal Architecture
To mitigate these risks, the industry must develop a new "legal architecture" for finance. Managing the risk of autonomous agents will require the implementation of strict spending limits, comprehensive audit logs, and clear indemnification provisions.
What remains to be seen is how courts will handle complex disputes where the AI's action was an unforeseen emergent behavior rather than a direct result of user instructions. Until legal personhood is granted to AI—a prospect currently unsupported by U.S. law—the burden of algorithmic failure will remain a human one.
