ANNA Money Acquires BDG and UKBF to Build AI Operating System for SMEs
London fintech buys company formation platform controlling 30% of UK independent market and 160,000-member community to capture entrepreneurs from day one.
London-based fintech ANNA Money has acquired Business Data Group (BDG) and UK Business Forums (UKBF) to build an AI-powered operating system for small and medium enterprises. The dual acquisition gives ANNA control of the company formation journey and a substantial community layer, positioning the fintech to onboard businesses from incorporation through daily financial management and tax filing.
Market Position and Scale
BDG accounts for approximately 30% of the UK independent company formation market, making it a significant gateway for new businesses. UKBF brings a community platform supporting over 160,000 small business owners and entrepreneurs. Together, these assets allow ANNA to reach founders at the moment they start their business and transition them directly into its AI-driven financial ecosystem.
The acquisition follows ANNA's £10 million growth debt round from Flashpoint Ventures, announced in December 2025, to scale its 'Auto Accountant' solution. The company is positioning itself to help UK businesses comply with the Making Tax Digital mandate, which affects roughly 850,000 self-employed individuals and landlords.
Leadership and Strategy
Richard Osborne, founder of BDG and UKBF, will remain as chairman of BDG. Rebecca Hill has been appointed CEO of BDG. The leadership continuity signals ANNA's intent to preserve the established relationships and operational expertise that made BDG a market leader.
Eduard Panteleev, ANNA Money Co-founder and Co-CEO, said company formation is where every business journey begins, and BDG's network means ANNA can support more entrepreneurs from day one with technology that grows alongside them. ANNA intends to support independent formation agents rather than compete with them by enhancing the technology they use.
Vertical Integration Play
By controlling both the top of the funnel (company formation via BDG) and the community layer (UKBF), ANNA is executing a vertical integration strategy that could disrupt traditional accounting and company secretarial services. The company aims to replace manual administrative hiring with agentic AI capabilities, automating taxes and bookkeeping through its business account platform.
The move reflects broader fintech consolidation trends as companies seek to own more of the customer lifecycle. For UK entrepreneurs, the integration promises a seamless journey from incorporation to compliance, though success will depend on ANNA's ability to deliver on its AI automation promises while maintaining the trust of BDG's agent network and UKBF's community.
