Atlantic HPC Group to Go Public in $150 Million Merger with Aperture AC

The digital infrastructure firm will leverage a SPAC merger to scale its Bitcoin mining and AI computing capacity.

Atlantic HPC Group Inc. has entered into a business combination agreement to go public through a merger with Aperture AC (ticker: APUR). The move provides the U.S.-based digital infrastructure firm with greater financial flexibility and increased credibility with its long-term customer base.

The transaction is structured as a Special Purpose Acquisition Company (SPAC) merger with a total valuation of approximately $150 million. By transitioning to a public entity, Atlantic HPC aims to secure the capital necessary to expand its footprint in the power-intensive computing sector.

Infrastructure and Operations

Atlantic HPC specializes in the development and operation of high-density computing facilities across Oklahoma, Arkansas, and Ohio. The company currently manages a total utility-approved capacity of 98 MW. Of this total, 51 MW is actively in operation for Bitcoin mining, while 47 MW is under development to support high-performance computing (HPC) workloads, including artificial intelligence.

On the technical side, the company's current infrastructure supports a Bitcoin mining capacity of 1.9 EH/s. To achieve this scale, Atlantic HPC deploys modular compute yards integrated with dedicated utility access and specialized cooling systems, allowing the firm to scale operations rapidly as power becomes available.

Industry Implications

This merger reflects a broader industry trend where Bitcoin mining and AI infrastructure providers seek public markets to fund massive capital expenditures. The transition from private to public ownership is often a prerequisite for the scale of investment required to acquire the vast amounts of power and hardware needed for modern data centers.

For Atlantic HPC, the merger serves as a catalyst to evolve from a regional operator into a larger-scale digital infrastructure platform. As the demand for AI-driven compute grows alongside cryptocurrency mining, the ability to pivot and expand utility-approved capacity becomes a primary competitive advantage in the digital infrastructure market.

Future Outlook

Following the completion of the merger, investors will monitor how Atlantic HPC converts its 47 MW development pipeline into operational HPC capacity. The company's ability to successfully integrate these high-performance computing workloads alongside its existing mining operations will determine its trajectory as a diversified infrastructure provider. While the valuation is set, long-term success depends on the efficient deployment of its remaining utility-approved power.
