GD Culture Group Executes 1-for-250 Reverse Split Amid Bitcoin Volatility

The company reduced its share count by 99.6% to maintain Nasdaq compliance following a steep valuation collapse.

GD Culture Group (GDC) has implemented a drastic 1-for-250 reverse stock split to stave off delisting from the Nasdaq. The move comes as the company struggles with extreme financial volatility and a collapsed share price.

Effective June 29, 2026, the reverse split reduced the company's total outstanding shares from approximately 1.04 billion to 4.16 million. This corporate action follows a period of severe devaluation, with GDC shares falling roughly 97% from their peak in February 2021. The company, which originally operated as a virtual content production business, has seen its market capitalization erode significantly over the last several years.

A Risky Treasury Pivot

In an effort to shift its financial strategy, GD Culture Group pivoted toward a digital asset treasury model. As part of this transition, the company acquired 7,500 Bitcoin (BTC) through a share-based agreement with Pallas Capital Holding. While the acquisition was intended to strengthen the company's balance sheet, the move coincided with further instability in its equity price. Reports indicate that the company's board has since authorized the disposition of Bitcoin holdings, though the specific terms of any resulting liquidations remain subject to confirmation.

The Risks of Crypto Treasuries

This situation underscores the inherent risks when small-cap public companies adopt "Bitcoin treasury" strategies. By tying a significant portion of its corporate value to a highly volatile asset, GDC has exposed itself to swings that can exacerbate existing financial distress. When crypto assets fluctuate wildly, the resulting impact on the balance sheet can force companies into desperate corporate maneuvers—such as massive reverse splits—simply to meet the minimum bid price requirements of major exchanges.

Outlook for GDC

Investors are now watching to see if the reverse split and the potential liquidation of digital assets can stabilize the company's valuation. While the share count has been consolidated, the underlying cause of the 97% price drop remains a critical concern. It remains to be seen whether GDC can successfully transition its business model or if the volatility of its Bitcoin holdings will continue to dictate its corporate governance and survival on the Nasdaq.
