Metaplanet to Launch 'Superplanet' on Nasdaq to Expand Bitcoin Treasury

The Japanese firm will acquire a controlling stake in Super League Enterprise to access U.S. capital markets.

Metaplanet has entered into a definitive agreement to invest 2,100 Bitcoin into Nasdaq-listed Super League Enterprise (SLE) to establish a U.S.-based Bitcoin treasury platform. The move signals a strategic expansion of the company's aggressive digital asset accumulation strategy into the American financial system.

Upon the closing of the deal, Super League Enterprise will be renamed Superplanet, Inc. and trade under the ticker SUPA. Metaplanet will hold approximately 95.7% of the common shares, effectively making the Nasdaq-listed entity a consolidated subsidiary of the Japanese firm. According to CEO Simon Gerovich, the move is designed to create "one consolidated BTC position through two listed platforms."

The Strategic Shift

Metaplanet, frequently described as "Asia's MicroStrategy," has spent recent years aggressively accumulating Bitcoin within the Japanese market. However, the company is now seeking to leverage the deeper liquidity and more sophisticated financial instruments available in the United States. By controlling a Nasdaq-listed entity, Metaplanet aims to utilize U.S. capital markets to increase the "BTC-per-share" value for its investors across both the Tokyo and Nasdaq exchanges.

Why It Matters

This transaction represents a significant evolution of the corporate Bitcoin treasury model. By establishing Superplanet, Metaplanet can access financing tools—such as the market for perpetual preferred stock—that are currently unavailable in Japan. This allows the company to potentially acquire more Bitcoin without the same level of common equity dilution that typically accompanies such expansions.

As Gerovich noted, while the company built one of the world's largest Bitcoin treasuries from Japan, Superplanet is the vehicle for building in America, which he described as "the deepest capital market in the world."

The transition to Superplanet will depend on the finalization of the investment agreement and the subsequent rebranding of the Nasdaq entity.
