SEC Proposes 'Reg Crypto' to Legalize U.S. Token Fundraising Up to $75 Million
The new regulatory framework aims to end the exodus of crypto projects moving offshore by providing a clear path for primary token issuance.
The U.S. Securities and Exchange Commission (SEC) proposed a new regulatory framework on August 18, 2026, designed to create a lawful and transparent path for primary token issuance and fundraising within the United States. Known as "Regulation Crypto Assets" (Reg Crypto), the proposal seeks to reduce the incentive for domestic blockchain projects to launch their offerings in offshore jurisdictions to avoid regulatory friction.
Under the proposed rules, qualified issuers would be eligible for a registration exemption allowing them to raise up to $75 million within a 12-month period. The SEC specified that Reg Crypto focuses on "covered investment contracts" where the underlying subject is a crypto asset that is not itself a security, explicitly distinguishing these newly minted tokens from tokenized shares of existing stocks. Furthermore, the framework introduces a formal safe harbor mechanism that allows tokens to transition out of "investment contract" status once an issuer has completed or ceased all essential managerial efforts promised during the fundraising phase.
A Shift Toward Fit-for-Purpose Rules
For years, the U.S. crypto industry has operated under a cloud of regulatory uncertainty. This environment led many developers and entrepreneurs to move their initial coin offerings (ICOs) and capital formation efforts abroad to mitigate the risk of SEC enforcement actions. Reg Crypto represents a strategic pivot toward "fit-for-purpose" frameworks for digital assets, moving away from the rigid application of legacy securities laws to emerging technology.
This proposal builds upon a joint interpretation issued by the SEC and the Commodity Futures Trading Commission (CFTC) on March 17, 2026. That earlier guidance established the foundational criteria for when a crypto asset may cease to be subject to an investment contract, providing the theoretical basis for the practical exemptions now proposed in Reg Crypto.
Implications for U.S. Capital Markets
If finalized, the regulation could revitalize the domestic token market by providing a predictable safe harbor for early-stage fundraising. By lowering the barriers to legal compliance for raises up to $75 million, the SEC may effectively shift blockchain development and capital formation back to the U.S. This transition would likely increase liquidity and technical development on major public blockchains while offering decentralized protocols a legal exit from securities status.
