Strategy Inc. Sells $104 Million in Bitcoin to Fund Preferred Stock Buybacks
The company realized a loss on the sales to support its STRC perpetual preferred stock and bolster USD reserves.
Strategy Inc., formerly known as MicroStrategy, sold 1,638 Bitcoin between July 27 and August 2, 2026, to fund preferred dividend payments and share repurchases. The move signals a tactical shift in how the company manages its capital structure and obligations to preferred shareholders.
The company liquidated the assets for approximately $104.73 million, averaging $63,957 per coin. These sales realized a loss compared to Strategy's average accumulation cost of $75,419 per coin. The proceeds were used in tandem with the issuance of approximately 3 million new MSTR common shares to strengthen the company's financial position, bringing its total USD reserve to $4.0 billion.
A New Capital Framework
This activity follows the adoption of a "Digital Credit Capital Framework" in June 2026. This framework allows Strategy Inc. to transition from a pure accumulation phase to a more flexible treasury model. Under these guidelines, the company can execute limited Bitcoin sales to meet specific liabilities, such as preferred dividends and buybacks, particularly when issuing new equity is deemed less attractive.
Supporting Preferred Equity
As part of this financial maneuver, Strategy retired 912,143 shares of its STRC perpetual preferred stock at a cost of $81.2 million. The funding for this buyback was split between two sources: $52.3 million was derived from the Bitcoin sales, while $28.9 million was sourced from the issuance of MSTR common stock. The STRC stock is designed to trade around a $100 par value and carries a 12% annual dividend, making its maintenance a priority for the company's credit stability.
Industry Implications
This shift is significant as it marks a departure from the company's previous stance of aggressive, unconditional Bitcoin accumulation. By becoming a net seller of BTC to support its preferred stock price and dividend obligations, Strategy Inc. is prioritizing the stability of its credit instruments over the growth of its digital asset holdings. This approach raises questions regarding the long-term impact of common share dilution used to support preferred holders, especially when assets are sold at a loss relative to their original cost basis.
What to Watch
Investors will likely monitor whether this becomes a recurring pattern of liquidation to service debt and dividends. While the company has successfully bolstered its USD reserves to $4 billion, the sustainability of using Bitcoin as a liquid reserve for preferred equity buybacks remains a key point of interest for market analysts.
