Evernorth Holdings Inc. is poised to become one of the first public companies to utilize XRP as a primary treasury reserve. The firm has received SEC clearance for its registration and is now awaiting a final shareholder vote to finalize its entry into the public markets.
The company is pursuing its listing through a merger with Armada Acquisition Corp. II, a special purpose acquisition company (SPAC). The combined entity is expected to trade on the Nasdaq under the ticker symbol XRPN. The critical shareholder vote to approve the merger is scheduled for September 30, with the listing likely to close in late September or October.
A New Model for XRP
Evernorth is adopting a "treasury company" strategy, a model popularized by MicroStrategy's aggressive acquisition of Bitcoin. Rather than simply holding the asset, Evernorth intends to manage its balance sheet to increase the amount of XRP backing each share over time. This approach moves XRP from the realm of private wallets and exchange reserves into a regulated, public equity structure.
The venture is supported by a heavy roster of institutional crypto investors. Confirmed backers include Ripple, Arrington Capital, SBI Group, Pantera Capital, Kraken, and GSR. The company is led by CEO Asheesh Birla, a former senior executive at Ripple, providing the firm with deep ties to the ecosystem's foundational leadership.

This move represents a significant step in the institutionalization of XRP. By creating a public vehicle for the asset, Evernorth provides equity investors with a regulated way to gain exposure to XRP without holding the token directly.
