Procore to Acquire DroneDeploy for $845 Million to Automate Jobsite Intelligence

Procore Technologies, Inc. has entered into a definitive agreement to acquire robotics and visual intelligence platform DroneDeploy for approximately $845 million in cash. The move signals a major strategic pivot for Procore, aiming to automate jobsite observations and actions through integrated AI.

The acquisition integrates DroneDeploy’s reality capture capabilities—spanning both aerial and ground imaging—directly into Procore’s existing construction management software. The deal combines Procore’s database of 400 million photos and 126 million drawings with DroneDeploy’s archive of 20 trillion square feet of visual data and 100,000 labeled safety issues. DroneDeploy currently operates on more than 3 million jobsites across 180 countries.

The Shift to Reality Capture

Historically, Procore has functioned as a collaboration hub, serving as a system of record for project data such as RFIs, submittals, and drawings. However, the construction industry is currently grappling with acute labor shortages, driving a demand for practical automation. By moving into "reality capture"—the creation of digital twins and visual records of physical sites—Procore can now automate progress tracking and the identification of site issues.

"Adding DroneDeploy’s technology into the Procore platform will enable us to accelerate our AI strategy and deliver digital coworkers that track what's happening on a project, make sense of it, and then take action to change the outcome," said Ajei Gopal, President and CEO of Procore. Mike Winn, CEO of DroneDeploy, noted that customers have consistently requested that reality capture be a native part of their workflow rather than a separate, "bolted on" tool.

Industry Implications

This acquisition represents a shift toward "autonomous construction management." By merging project decision data with visual site reality, Procore intends to create "digital coworkers" capable of analyzing jobsite data without manual human inspection. This capability could significantly reduce costly errors, improve site safety, and mitigate the impact of the industry's labor gap.

Financials and Timeline

While the $845 million cash price is subject to customary adjustments, analysts had previously expected a significantly lower acquisition price of $365.8 million. Alongside the announcement, Procore lifted its full-year revenue outlook to a range between $1.51 billion and $1.514 billion. The transaction is expected to close later this year, pending regulatory approvals.
