Terms of the financing include a conversion price of $16.00 per ordinary share, representing a premium of approximately 60% over the August 28, 2026, closing price of $9.94. The agreement also includes a performance-based interest adjustment: if the share price fails to average $15.00 for 30 consecutive days ending 18 months after issuance, the interest rate will increase by 1.25%.
