Nscale to Acquire Anyscale for $1.65 Billion to Build 'Full-Stack' AI Cloud
The British neocloud provider integrates physical infrastructure with distributed computing software to challenge traditional hyperscalers.
British AI cloud provider Nscale has entered into a definitive agreement to acquire Anyscale, the software startup founded by the creators of the Ray distributed computing framework. The deal, reported to be worth approximately $1.65 billion, signals a major shift toward vertical integration in the AI infrastructure market.
According to company announcements, the transaction will bring Anyscale’s team of roughly 200 employees across the U.S., Europe, and India into the Nscale fold. The acquisition is expected to close in the second half of 2026, pending customary regulatory approvals. Nscale enters the deal from a position of significant capital strength, having been valued at $14.6 billion in March 2026 following a $2 billion Series C funding round.
The Shift to Vertical Integration
Nscale operates as a "neocloud" provider, distinguishing itself by owning the foundational layers of the compute stack, including power sources and physical data centers. Anyscale provides the commercial orchestration layer built on Ray, an open-source standard used to scale distributed AI applications. While Ray was donated to the PyTorch Foundation under the Linux Foundation in late 2025 and remains community-governed, the acquisition allows Nscale to pair that software expertise with its own hardware.
Josh Payne, CEO and Founder of Nscale, stated that the company is pursuing a unique path compared to traditional providers who simply rent GPUs. "We build and own every layer ourselves: the power, the data centers, the compute, and the software that turns them into an AI cloud," Payne said.
Industry Implications
By combining physical assets with workload management software, Nscale intends to create what Anyscale CEO Keerti Melkote describes as the "first full-stack AI hyperscaler." This strategy aims to reduce operational costs and increase efficiency for enterprises developing large-scale AI models. By co-designing the software and hardware layers, Nscale seeks to challenge the dominance of traditional cloud giants by offering a more streamlined, integrated environment for AI training and deployment.

As part of the transition, Nscale intends to join the PyTorch Foundation to maintain its relationship with the community governing the Ray framework. Market observers will be watching the regulatory approval process through the end of 2026 to see if the deal faces antitrust scrutiny. The primary metric for success will be whether this integrated "full-stack" approach can actually deliver lower costs and higher performance than the decoupled model used by most current cloud providers.
