BlackRock Onboards Bitcoin Whales via $5 Billion in Tax-Deferred Swaps
The asset manager is accelerating the migration of crypto wealth into the traditional financial system by lowering entry barriers for in-kind ETF conversions.
BlackRock is systematically migrating high-net-worth Bitcoin holders into the traditional financial ecosystem through the strategic use of tax-deferred swaps. By allowing "whales" to exchange direct cryptocurrency holdings for shares in the iShares Bitcoin Trust (IBIT), the firm is bridging the gap between decentralized wealth and Wall Street balance sheets.
According to data reported by The Token View, BlackRock's IBIT has already processed more than $5 billion in these "in-kind" conversions. This mechanism allows investors to move their Bitcoin from private wallets into a regulated ETF structure without triggering an immediate taxable event, which would otherwise occur if the assets were sold on an exchange for cash. To accelerate this trend, BlackRock reduced the minimum threshold for these private in-kind creations from $25 million to $1 million in July.
The Bridge to Institutional Custody
The approval of spot Bitcoin ETFs in the U.S. created a structural bridge for investors who already own the underlying asset. While most retail investors enter the market via cash purchases, in-kind creations serve a specific purpose for the wealthiest segment of the crypto community. These investors often seek the security, estate planning capabilities, and lending tools provided by a global asset manager, but are deterred by the massive tax liabilities associated with liquidating large positions.
Robbie Mitchnick, Head of Digital Assets at BlackRock, noted that the motivation for this switch often stems from external risks. "People see things happen in the outside world – whether it’s kidnappings, ransom, custody failures – that motivate them to make this switch for all or some of their holdings," Mitchnick said.
A Shift in Ownership Structure
This migration represents a fundamental shift in the ownership architecture of Bitcoin. Wealth that was previously held in self-custody or on crypto-native platforms is now moving onto the balance sheets of the world's largest asset manager. This process effectively legitimizes Bitcoin as a standard institutional asset while providing BlackRock with a direct pipeline to the most affluent participants in the digital asset space.
By lowering the entry barrier to $1 million, BlackRock is not merely managing assets but is actively onboarding a new generation of lifelong Wall Street clients who previously operated entirely outside the traditional banking system.
Future Outlook
As the infrastructure for institutional crypto-adoption matures, the industry will be watching whether other ETF issuers adopt similar aggressive threshold reductions to attract whale liquidity. While the current trend focuses on Bitcoin, the success of these tax-deferred migrations may provide a blueprint for how other digital assets are integrated into traditional portfolios. It remains to be seen if this shift toward centralized custody will diminish the "not your keys, not your coins" ethos that has historically defined the Bitcoin community.
