Metaplanet Acquires Super League Enterprise to Launch US Bitcoin Treasury
The Tokyo-based firm takes a 95.7% stake in the Nasdaq-listed entity to scale its Bitcoin accumulation strategy in American capital markets.
Tokyo-based Metaplanet has acquired a controlling 95.7% stake in Nasdaq-listed Super League Enterprise (SLE) to launch a US-based Bitcoin treasury platform. The move marks a significant strategic expansion for the company as it scales its corporate Bitcoin accumulation strategy into the American capital markets.
To secure the stake, Metaplanet invested 2,100 BTC—representing approximately 4.9% of its total 43,000 BTC stack—alongside $2.5 million in cash. The transaction involved the issuance of 44,859,400 new shares priced at $3.00 per share, totaling roughly $134.6 million. As part of the agreement, Metaplanet holds 100 convertible perpetual preferred stock shares, granting it voting rights and the authority to appoint a majority of the board. The deal also includes a five-year lockup period for the acquired shares. Following the announcement, Super League shares surged over 100% intraday, hitting a session high of $7.37.
A Global Treasury Pivot
Metaplanet has aggressively pursued a Bitcoin-first treasury strategy, a model closely mirroring that of MicroStrategy. Before this acquisition, the company had already built a substantial position of 43,000 BTC and recently introduced "BitBonds" to raise additional capital for further acquisitions. The acquired entity, formerly a gaming media company, will be rebranded as "Superplanet" and will trade under the new ticker SUPA.
Strategic Market Access
This acquisition provides Metaplanet with a critical foothold in the United States, allowing it to leverage the world's deepest capital markets. By transforming a struggling gaming firm into a dedicated Bitcoin treasury, Metaplanet is diversifying its regulatory and currency exposure while maintaining a consolidated Bitcoin position across both Japanese and US listed vehicles. Simon Gerovich, CEO of Metaplanet, stated that Superplanet is the mechanism through which the company will "build in America."
Future Outlook
Investors will now watch how Metaplanet integrates Superplanet into its broader treasury operations and whether the new US vehicle will be used to further accelerate BTC accumulation. While the rebranding and ticker change are confirmed, the long-term impact of the five-year lockup period on share liquidity remains a key detail for market observers. This pivot signals a broader trend of non-US firms utilizing American public listings to institutionalize digital asset holdings on a global scale.
