Metaplanet, the Japanese firm that pivoted from hotel operations to a Bitcoin treasury strategy, has reduced its executive stock option pool by 41.1%. The move comes as a direct response to significant pushback from shareholders concerned over excessive dilution.

On September 11, 2026, the company's board amended the "Series 10" Stock Acquisition Rights, reducing the number of shares underlying each unit from 696 to 410. This adjustment shrank the aggregate executive pool from 319,464,000 shares to 188,190,000 shares. According to company data, this reduction immediately increased the Bitcoin per effective diluted share by approximately 8.8%, rising from 0.0263554 to 0.0286646. However, 82,824,000 shares already delivered to holders prior to the amendment will remain intact and will not be cancelled or returned.

Additionally, Metaplanet withdrew a previous plan to transfer 90,000 rights into a long-term incentive vehicle for officers and employees. The company stated it will instead collaborate with a global consultant to develop a new compensation framework. CEO Simon Gerovich noted that the decision followed several weeks of shareholder inquiries regarding the company's governance and compensation structure during its business transformation.

The Dilution Conflict

The controversy stems from the original design of the Series 10 rights, established in February 2023. These rights were structured to track 20% of the company's fully diluted capital. Because of this "floating" mechanism, the executive pool automatically expanded whenever Metaplanet issued new shares to fund its Bitcoin acquisitions.

This structure led to accusations that management was disproportionately benefiting from shareholder-funded Bitcoin purchases. By issuing more shares to buy more Bitcoin, the company was simultaneously increasing the potential payout for executives, effectively rewarding management for the very dilution that penalized existing shareholders.

Implications for Bitcoin Treasuries

This reversal highlights a growing tension between aggressive corporate Bitcoin accumulation and traditional shareholder governance. For companies adopting a "MicroStrategy-style" treasury model, the primary metric of success is often "Bitcoin per share." When executive incentives are tied to simple company growth or floating equity pools, they can diverge from the interests of long-term investors.

By slashing the option pool, Metaplanet is attempting to pivot its incentive structure toward yield rather than expansion. This signals a broader market trend where investors are demanding stricter guardrails on how treasury-focused firms compensate their leadership during rapid capital expansion.
