Metaplanet reduced its Series 10 executive stock acquisition rights pool by 41.1% on September 11, 2026. The move aligns corporate governance with investor demands following a period of aggressive equity expansion.
To achieve the reduction, the board amended the conversion ratio from 696 shares per unit down to 410 shares per unit. This adjustment effectively extinguished more than $220 million in warrant value. According to company data, the aggregate potential share pool dropped from 319,464,000 to 188,190,000 shares. While the pool was slashed, 82,824,000 shares already exercised were not returned or cancelled. The exercise price for remaining rights remains ¥10 per share, and the lock-up period has been extended to August 17, 2031.

The Series 10 rights were established in February 2023, when Metaplanet operated primarily as a hotel operator. The original plan featured a floating pool designed to track 20% of fully diluted capital. As Metaplanet pivoted to a Bitcoin treasury model, this structure created a compounding effect: every equity raise used to fund Bitcoin purchases automatically expanded the executive pool. This mechanism triggered significant shareholder backlash, as investors feared the compensation structure caused excessive dilution of existing holdings.
