MSCI Proposes New Screening Rules That Could Oust MicroStrategy and Metaplanet

A proposed 'non-operating company' screen targets firms with heavy asset reserves, threatening institutional access for Bitcoin-treasury companies.

MSCI has launched a consultation on a new screening process that could result in the removal of MicroStrategy and Metaplanet from its Global Investable Market Indexes. The move targets companies that primarily hold assets rather than conduct active business operations.

The proposed methodology introduces a "non-operating company" screen designed to identify firms whose operating assets do not exceed half of their total assets. To determine eligibility, MSCI intends to use five specific financial ratios focusing on operating asset intensity, expense levels, cash flow, fair value exposure, and reliance on outside capital. According to the consultation, companies failing these metrics would be excluded from equity benchmarks, including the MSCI ACWI IMI.

The Shift to Bitcoin Treasuries

This proposal directly impacts firms like MicroStrategy and Metaplanet, both of which have aggressively adopted "Bitcoin Treasury" strategies. By acquiring Bitcoin as their primary reserve asset, these companies have fundamentally transformed their balance sheets. Consequently, a dominant portion of their total assets now consists of digital holdings rather than traditional operating assets, placing them squarely within the crosshairs of the proposed non-operating classification.

Institutional Implications

Because MSCI indexes serve as the blueprint for trillions of dollars in passive investment funds, the stakes for these companies are high. If the new rules are adopted, institutional funds that track these benchmarks would be forced to sell their holdings in any excluded companies. This mandatory divestment could create significant downward price pressure on the stocks and reduce the overall accessibility of these firms for institutional investors who rely on index-based exposure.

Next Steps

MSCI is currently in the consultation phase to gather feedback on the proposed methodology. While the core risk to Bitcoin-heavy firms is clear, the final implementation timeline and the full list of affected companies remain subject to the outcome of this review. Market participants are now watching to see if the index provider will refine the ratios to account for modern digital asset reserve strategies or proceed with the exclusions.
