Strategy Pauses Bitcoin Buys to Stabilize Preferred Stock and Cash Reserves

The company is selling BTC and issuing common shares to repair its STRC funding engine and build a $4 billion liquidity cushion.

Strategy, formerly known as MicroStrategy, has paused its Bitcoin acquisitions for six consecutive weeks to prioritize the repurchase of its discounted STRC preferred stock and the expansion of its US dollar reserves. This tactical shift marks a departure from its aggressive accumulation phase as the company seeks to stabilize its capital structure.

To fund these initiatives, Strategy sold 1,638 BTC for $104.7 million and issued approximately 3.01 million MSTR common shares, raising $290.6 million. Since July, the company has spent roughly $106.2 million on STRC repurchases, including a recent $81.2 million buyback of 912,143 shares. Simultaneously, the firm is scaling its US dollar reserve toward a $4 billion target. This reserve is designed to cover approximately 27 months of debt-interest and preferred-dividend obligations, which are estimated at $1.76 billion annually.

The Funding Engine

Strategy operates as a "Bitcoin Treasury Company," utilizing a complex mix of common shares (MSTR) and preferred stock (STRC) to finance its holdings. The STRC preferred stock was intended to be a repeatable source of funding; however, the shares have traded below their $100 par value since May. Because the stock is discounted, the company cannot efficiently issue new shares to acquire more Bitcoin.

In response, Strategy activated its "BTC Monetization Program," which allows the firm to sell portions of its holdings to maintain liquidity and support its securities. This allows the company to treat Bitcoin as an active source of operational liquidity rather than a passive reserve asset. By buying STRC below par, the company can retire future dividend obligations at a discount while strengthening demand to push shares back toward the $100 mark.

Market Implications

This pivot represents a critical effort to repair the company's "dividend engine." By selling BTC and diluting common shareholders to protect preferred investors, Strategy is attempting to restore STRC to par value. If successful, this would reopen the preferred stock as a viable funding channel, allowing the company to resume Bitcoin accumulation without further eroding the BTC-per-share ratio for common stockholders.

Despite the recent sales, the company maintains a massive position, with total Bitcoin holdings standing at 842,138 BTC, acquired for $63.51 billion at an average price of $75,419. Strategy also retains significant firepower for future moves, with $893.8 million remaining under its preferred-stock repurchase authorization and $1 billion earmarked for MSTR common-share buybacks.

Future Outlook

Investors are now watching to see if the STRC repurchases successfully drive the stock back to its par value. While the current phase focuses on stabilization, leadership insists the long-term trajectory remains unchanged. The company maintains that it has never had a "never sell" policy and expects to remain a net buyer of Bitcoin over time.
