Zhibao Technology (NASDAQ: ZBAO) has entered into a definitive Securities Purchase Agreement for a private investment in public equity (PIPE) financing payable entirely in Bitcoin. Signed July 31, 2026, the deal represents a fundamental shift in the company's capital structure and corporate governance.

Under the terms of the agreement, the Shanghai-based InsurTech company will issue 442 million PIPE units to a group of non-U.S. investors. In exchange, Zhibao will receive 2,380 Bitcoins, bringing the aggregate purchase price to $154.7 million based on a valuation of $65,000 per coin as of July 30, 2026. Each PIPE unit consists of one Class A ordinary share and one warrant to purchase an additional Class A ordinary share at $0.35 per share, with the warrants exercisable for two years.

A Shift in Control

This transaction is a control deal rather than a simple liquidity event. The agreement triggers a comprehensive governance reorganization, allowing the investors to designate four seats on the Board of Directors. This move effectively shifts control of the board to the new investors, who will also install new executive leadership to steer the company's future operations.

Zhibao Technology operates a 2B2C digital embedded insurance model in China. However, the company has recently struggled with significant financial instability. Most pressingly, Zhibao faces a Nasdaq minimum-bid price deficiency. The company is under a deadline of January 6, 2027, to bring its stock price back to at least $1 to avoid being delisted from the exchange.

Strategic Implications

By accepting a massive influx of cryptocurrency as payment and installing their own leadership, the investors are pivoting Zhibao toward a "Digital Asset Reserve" strategy. The scale of the Bitcoin acquisition relative to the company's previous equity value suggests a total transformation of the balance sheet, effectively converting a struggling insurance technology firm into a vehicle for digital asset holding.

For the broader InsurTech market, this deal highlights a rare intersection between traditional Chinese digital insurance and the volatile crypto-asset market. It demonstrates a willingness by non-U.S. investors to use Bitcoin as a primary instrument for the corporate acquisition and restructuring of public entities.

Market observers will now look for the formal appointment of the new executive officers and the official filing of the board changes. While an earlier non-binding term sheet had suggested a larger investment of 3,500 Bitcoins valued at approximately $230.2 million, the final definitive agreement settled on the 2,380 BTC figure. The primary metric for success in the coming months will be whether this capital infusion and leadership change can successfully resolve the Nasdaq compliance issues before the January deadline.
