Agility Robotics is preparing for a public debut that highlights the speculative nature of the humanoid robotics market. A recent S-4 filing with the SEC reveals the company is pursuing a merger with Churchill Capital Corp. XI in a deal that values the Oregon-based firm at $2.5 billion.

The financial disclosures show a company in a heavy investment phase with minimal current income. Agility Robotics generated just $1.8 million in net sales for 2025, while recording an operating loss of $140 million. To bridge this gap, the company is relying on a massive influx of capital; the SPAC merger is expected to generate over $620 million in gross proceeds. This includes $420 million from Churchill’s trust and a $200 million private investment in public equity (PIPE) led by Foxconn, according to the filing.

The Path to Scale

Agility Robotics, a spin-off from Oregon State University, focuses on the Digit humanoid robot designed for logistics and warehouse automation. While current revenue is low, the company points to operational milestones as evidence of viability. Digit humanoids have already logged more than 65,000 operating hours across nine different customer sites. Furthermore, the company claims to have secured over $300 million in multi-year orders for the Digit v5 model from a single customer, suggesting a significant pipeline of future revenue.

A Speculative Market

This filing is one of the first instances where a pure-play humanoid robotics company has opened its financial books to the public. The contrast between $1.8 million in revenue and a $2.5 billion valuation underscores a broader trend in "Physical AI," where market value is driven by projections of mass deployment rather than present-day earnings. Agility is entering the public sphere amidst intense competition from U.S. rivals like Figure, Apptronik, and 1X, as well as Chinese competitors such as Unitree, which recently listed on Shanghai's STAR Market.
