Analog Devices (ADI) has agreed to acquire Alif Semiconductor, a specialist in AI-native processing platforms for the edge, in a deal valued at $1.35 billion in cash. The acquisition merges Alif's low-power AI microcontrollers with ADI's established analog and sensing portfolio to accelerate the development of "Physical Intelligence."

Beyond the initial cash payment, the agreement includes up to $200 million in additional contingent, performance-based payments. Alif Semiconductor was co-founded by industry veterans Syed Ali, a former co-founder of Cavium, and Reza Kazerounian, who previously held executive roles at Atmel and Freescale. The technical core of the acquisition centers on Alif's Ensemble devices, which utilize Arm Ethos-U85 NPUs and support transformer models. Technical specifications indicate an Alif E4 device can run a small language model (SLM) while drawing approximately 36 milliwatts, demonstrating extreme power efficiency for complex AI tasks.
