Lattice Semiconductor announced it will acquire AMI, a leader in platform firmware and infrastructure manageability for cloud and AI environments, in a deal valued at approximately $1.65 billion. The transaction combines $1 billion in cash with roughly $650 million in Lattice common stock.

The acquisition marks a strategic pivot for Lattice, which has traditionally specialized in low-power field-programmable gate arrays (FPGAs) used as companion chips across consumer and industrial electronics. By integrating AMI's firmware and manageability software, Lattice aims to move up the server stack and offer a comprehensive secure management and control platform for AI infrastructure.

Financial Terms and Timeline

The deal is expected to close in the third quarter of 2026, pending regulatory approvals including Hart-Scott-Rodino clearance. Lattice stated the acquisition would be immediately accretive to gross margin, free cash flow, and non-GAAP earnings per share.

AMI, which is majority-owned by private equity firm THL Partners, is expected to generate more than $200 million in revenue in 2026. The transaction supports Lattice's trajectory toward achieving a $1 billion-plus annual revenue run rate by the fourth quarter of 2026.

Strategic Rationale

The combination allows Lattice to control both the silicon and firmware layers of server infrastructure, reducing customer time-to-market and deepening its competitive position in the rapidly expanding AI data center market. Industry analysts view the move as transformative, shifting Lattice from a pure-play hardware provider to a system-level solutions company.

Market Context

Lattice has been repositioning itself toward AI infrastructure and edge computing as demand for specialized chips in data centers accelerates. The acquisition comes as semiconductor stocks have rallied significantly year-to-date, though some analysts question whether current valuations already reflect anticipated synergies.

The $1.65 billion price tag increases Lattice's financial leverage and introduces integration risks typical of cross-border technology acquisitions. Success will depend on Lattice's ability to merge AMI's software capabilities with its FPGA hardware without disrupting existing customer relationships or slowing product development cycles.
